1. Definitions
- Contractor: Eszter Matla-Fodor (Foxy Consultancy), registered in Sweden with organisation number 8812019746.
- Client: any natural or legal person engaging the Contractor.
- Services: all services provided by the Contractor.
- Agreement: any agreement between the parties to which these terms apply.
2. Applicability
- These terms apply to all offers, agreements, and services.
- Deviations are valid only if agreed in writing.
- Client’s general terms are expressly excluded.
3. Formation of the Agreement
- An agreement is formed upon the Client’s written or verbal acceptance.
- The Contractor undertakes a best-efforts obligation, not an obligation of result.
4. Performance of Services
- Services are performed with due care and professional skill.
- No guarantees are given regarding outcomes.
- Decisions made by the Client based on the services are at the Client’s own risk.
5. Limitation of Liability
- The Contractor shall not be liable for damages arising from decisions made by the Client based on the services.
- Liability exists only in cases of intent or gross negligence.
- Any liability is limited to the amount invoiced during the month in which the damage occurred.
- Liability for indirect or consequential damages, including loss of profit, is excluded.
6. Fees and Invoicing
- Services are charged at 500 SEK per hour excluding VAT, unless otherwise agreed.
- Invoicing takes place monthly in arrears based on actual hours worked. Time is recorded and billed per commenced half-hour.
- Invoices must be paid within 14 days of the invoice date.
7. Late Payment
- In case of late payment, statutory interest under Swedish law applies.
- Collection costs may be charged.
8. Force Majeure
- Neither party shall be liable for failure to perform due to circumstances beyond reasonable control.
10. Governing Law and Disputes
- These terms are governed by Swedish law.
- The parties shall seek to resolve any disputes by mutual agreement. If this cannot be achieved, the dispute shall be submitted to the competent court in Sweden
