1. Definitions
- Contractor: Eszter Matla-Fodor (Foxy Consultancy), registered in Sweden with organisation number 8812019746.
- Client: any natural or legal person engaging the Contractor.
- Services: all services provided by the Contractor, including but not limited to bookkeeping, tax advisory, virtual assistance, and website development.
- Agreement: any agreement between the parties to which these terms apply.
2. Applicability
- These terms apply to all offers, agreements, and services.
- Deviations are valid only if agreed in writing.
- The Client’s general terms and conditions are expressly excluded.
3. Formation of the Agreement
- An agreement is formed upon the Client’s written or verbal acceptance.
- The Contractor undertakes a best-efforts obligation, not an obligation of result.
4. Performance of Services
- Services are performed with due care and professional skill.
- No guarantees are given regarding outcomes or decisions by third parties, including tax authorities.
- Decisions made by the Client based on the services are at the Client’s own risk.
- Where information from the Client is required for proper performance, the Client is responsible for providing it accurately and in a timely manner.
5. Fees and Invoicing
- Services are charged at 500 SEK per hour excluding VAT, unless otherwise agreed in writing.
- A minimum charge of 1 hour (500 SEK excluding VAT) applies per assignment, regardless of actual time spent. This minimum covers intake, assessment, communication, and administrative handling.
- Invoicing takes place monthly in arrears based on actual hours worked. Time is recorded and billed per commenced half-hour.
- Invoices must be paid within 14 days of the invoice date.
- The Contractor reserves the right to adjust the hourly rate. Rate changes will be communicated in writing to existing Clients at least 30 days in advance.
6. Late Payment
- In case of late payment, statutory interest under Swedish law applies from the due date.
- Collection costs may be charged to the Client.
- The Contractor reserves the right to suspend services in the event of a payment arrears exceeding 30 days, following written notice.
7. Limitation of Liability
- The Contractor shall not be liable for damages arising from decisions made by the Client based on the services provided.
- Liability exists only in cases of intent or gross negligence.
- Any liability is limited to the amount invoiced during the month in which the damage occurred.
- Liability for indirect or consequential damages, including loss of profit, is excluded.
8. Confidentiality
- Both parties undertake to keep confidential all information received from the other party in the context of the agreement.
- The Contractor will not disclose the Client’s confidential data — including financial data, tax information, and personal data — to third parties, unless required by law or expressly agreed in writing.
- This confidentiality obligation remains in force after termination of the agreement.
9. Data Protection (GDPR)
- The Contractor processes personal data in accordance with applicable privacy legislation, including the General Data Protection Regulation (GDPR).
- Personal data is processed only to the extent necessary for the performance of the agreement.
- The Contractor takes appropriate technical and organisational measures to protect personal data.

10. Intellectual Property
- All documents, reports, advice, and other work products produced by the Contractor remain the property of the Contractor until the Client has fulfilled all payment obligations.
- Upon full payment, the right to use the delivered work product transfers to the Client, unless otherwise agreed.
- The Contractor retains the right to use the work for its own promotional purposes at all times, unless the Client objects in writing.
11. Termination
- Either party may terminate the agreement with a notice period of 30 days, unless otherwise agreed in writing.
- For one-off assignments, the agreement ends by operation of law upon full delivery and payment.
- In case of early termination by the Client, the Contractor is entitled to invoice for work performed up to that point.
- The Contractor may terminate the agreement with immediate effect in the event of a serious breach by the Client, including prolonged non-payment.
12. Force Majeure
- Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including illness, technical failures, or government measures.
- If a force majeure situation persists for more than 30 days, either party has the right to dissolve the agreement in writing without being liable for damages.
13. Governing Law and Disputes
- These terms are governed by Swedish law.
- The parties shall seek to resolve any disputes by mutual agreement.
- If no resolution can be reached, the dispute shall be submitted to the competent court in Sweden.
